TERMS AND CONDITIONS OF USE

IMPORTANT LEGAL NOTICE: These Terms and Conditions constitute a legally binding contract between you and Publishing By YOUNGBLOOD (“PBY”). Please read carefully before accessing or using any PBY platform, purchasing products, or submitting materials.


SECTION 1: ACCEPTANCE OF AGREEMENT

1.1 Binding Agreement

These Terms apply to every individual or entity accessing PBY platforms, digital content, software, bookstores, or publishing services.

1.2 Eligibility

You represent that you are at least 18 years of age (or the age of legal majority) and possess the legal capacity to enter into binding contracts. Minors may use PBY only under parent/guardian supervision.

1.3 & 1.4 Scope & Supplemental Agreements

Governs current and future products (e-books, audiobooks, print, author portals, subscriptions). Executed Publishing Agreements or specific contracts take precedence regarding their direct subject matter.

SECTION 2: DEFINITIONS

Defines core legal terms:

  • Author: Any individual/entity submitting or publishing creative works with PBY.
  • Content: All manuscripts, artwork, software, audio, metadata, and site materials.
  • Intellectual Property: Copyrights, trademarks, patents, trade secrets, and algorithms.
  • Manuscript: Any written, visual, or multimedia work submitted for publishing services.
  • User-Generated Content (UGC): Reviews, comments, or testimonials submitted by users.
SECTION 3: USER ACCOUNTS & SECURITY

Requires truthful registration data and strict maintenance of login credential confidentiality. Accounts cannot be sold or transferred. PBY reserves the right to suspend or terminate accounts for suspected fraud, impersonation, or security violations.

SECTION 4: PUBLISHING SERVICES & AUTHOR RELATIONSHIPS

Outlines manuscript evaluations, editorial assessments, formatting, cover design, and distribution. Manuscript submission does not obligate PBY to publish. Publishing decisions remain at PBY's sole discretion. Formal relationships require an executed Publishing Agreement.

SECTION 5: INTELLECTUAL PROPERTY & AI RESTRICTIONS

PBY owns platform code, logos, and infrastructure. Authors retain underlying copyrights to original creative works unless granted via contract.

Strict Prohibition: No person or entity may harvest, scrape, crawl, or use PBY content or manuscripts for Artificial Intelligence (AI) model training, LLM development, or synthetic data creation without express written permission.

SECTIONS 6 & 7: PURCHASES, PAYMENTS & REFUNDS

Covers order authorization, tax liabilities, shipping terms, and subscription billing. Digital products and completed publishing services are non-refundable once delivered or commenced, unless required by law.

SECTIONS 8 & 9: ACCEPTABLE USE & PRIVACY

Prohibits platform security probing, malware distribution, phishing, or automated bot access. Privacy, data retention, and electronic communications adhere to PBY’s separate Privacy Policy.

SECTIONS 10 & 11: THIRD PARTIES & DMCA COMPLAINTS

PBY is not responsible for independent third-party retailers, distributors, or payment gateways. Copyright infringement notices must be sent to PBY’s Designated Copyright Agent under DMCA guidelines.

SECTIONS 12 & 13: DISCLAIMERS & LIMITATION OF LIABILITY

Services are provided "AS IS" without warranties of any kind. PBY does not guarantee commercial bestseller status or sales outcomes. Aggregate liability for claims is capped at $100.00 USD or the total amount paid directly to PBY in the preceding 12 months.

SECTIONS 14 & 15: INDEMNIFICATION & ARBITRATION

Users/Authors agree to indemnify PBY against third-party claims involving copyright infringement, plagiarism, or defamation. Disputes are governed by Louisiana state law and must be resolved via binding individual arbitration (with a waiver of class actions and jury trials).

SECTIONS 16–19: EXPORT CONTROLS, FORCE MAJEURE & CONTACT

Requires compliance with economic sanctions and trade embargoes. PBY is not liable for service interruptions caused by Force Majeure events (natural disasters, cyberattacks, outages).

1.4. The PBY Platform Ecosystem

PBY utilizes publishing, payment, communication, cloud storage, security, distribution, and royalty administration systems, operated by PBY or independent third parties.

1.5. Personal Information vs. Creative Materials

PBY recognizes a strict distinction between Personal Information (identifying data like names and financial records) and Creative Materials (manuscripts, artwork, audio recordings). Confidential handling of creative materials is governed by separate contracts.

1.8. Geographic Scope & Jurisdiction

PBY is based in Louisiana, United States. Information may be processed in countries other than where you reside, subject to appropriate safeguards and applicable privacy laws.

SECTION 2: DEFINITIONS & KEY TERMS

Key terms used throughout this document include:

  • AI System: Software/applications capable of machine learning, natural language processing, or automated analysis.
  • Author: Individuals/entities submitting, licensing, or publishing creative works with PBY.
  • Creative Materials: Manuscripts, drafts, artwork, audio masters, and editorial files.
  • Personal Information: Information identifying or linkable to an identified individual.
  • Sensitive Personal Information: Government IDs, financial credentials, biometrics, precise geolocation, and racial/ethnic data.
SECTION 3: PERSONAL INFORMATION WE COLLECT

Depending on your relationship with PBY, we may collect:

  • Contact Data: Legal names, pen names, mailing addresses, emails, phone numbers.
  • Author & Professional Data: Biography, publishing history, ISBN records, royalty details.
  • Financial & Tax Info: W-9/W-8 forms, Tax IDs, bank routing numbers, transaction records.
  • Device & Usage Data: IP addresses, browser types, session activity, geographic indicators.
SECTION 4: SOURCES OF PERSONAL DATA

PBY obtains data directly from you, automatically through browser interaction, from literary agents/representatives, payment processors, retail distributors, and public registries.

SECTION 5: AUTHOR, MANUSCRIPT & CREATIVE MATERIAL HANDLING

PBY treats unpublished manuscripts with strict confidentiality. Submission does not transfer copyright ownership. Access is restricted to authorized personnel (editors, proofreaders, typesetters).

PBY does NOT sell or provide unpublished manuscripts to third parties to train public generative AI models without express written consent.

SECTION 6: PEN NAMES, PUBLIC PROFILES & METADATA

PBY respects designated Pen Names in all public-facing channels (catalogs, online stores, cover designs) while maintaining legal identity data separately for contracts, tax compliance, and royalty administration.

SECTION 7: PURCHASES, PAYMENTS, ROYALTIES & TAXES

Details transaction processing, financial fraud prevention, sanctions screening, direct deposit banking administration, and tax withholding compliance under U.S. and international tax treaties.

SECTION 8: COOKIES, TRACKING & AUTOMATED TECHNOLOGIES

Covers essential, functional, analytics, and advertising tracking mechanisms, local storage, SDKs, and Global Privacy Control (GPC) recognition.
